Agreement to Terms

By accessing or using SageTweaks ("Service," "Software," "we," "us," or "our"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the Service.

1. Eligibility

1.1 Age Requirements

• You must be at least 18 years old (or the age of majority in your jurisdiction)
• If under 18, you may only use the Service with parental/guardian consent
• We do not knowingly collect personal data from children under 16 years of age, in line with Article 8 of the GDPR and Dutch implementation of the UAVG

1.2 Account Security

• You are solely responsible for all activities under your account
• Use a strong, unique password and enable two-factor authentication (if available)
• Do not share your account credentials with others
• Notify us immediately of any unauthorized access

2. License Grant

2.1 Limited License

Subject to these Terms and payment of applicable fees, we grant you a limited, non-exclusive, non-transferable, revocable license to:

• Access and use the Service for personal or internal business use
• Install and use the Software on the number of devices permitted by your Plan
• Receive updates and support as described in your Plan

2.2 License Restrictions

You may NOT:

• ✗ Reverse engineer, decompile, or disassemble the Software
• ✗ Modify, adapt, or create derivative works of the Software
• ✗ Remove, alter, or obscure any proprietary notices or labels
• ✗ Use the Software for any illegal or unauthorized purpose
• ✗ Rent, lease, sell, sublicense, or distribute the Software to third parties
• ✗ Use the Software to develop competing products or services
• ✗ Circumvent or attempt to bypass license activation mechanisms
• ✗ Share your License Key with unauthorized users
• ✗ Use the Software on more devices than permitted by your Plan

2.3 Ownership

We retain all rights, title, and interest in the Service and Software. The license does not grant you ownership of the Software. All intellectual property rights remain with SageTweaks.

3. Subscription Plans and Pricing

NOTE: Prices are subject to change with 30 days' notice.

Payment Terms

• Prices are displayed in U.S. Dollars (USD) for global consistency. EU/EEA customers are charged in their local currency at checkout, with applicable VAT calculated and displayed before payment is confirmed
• For EU/EEA consumer customers, the price shown at checkout is VAT-inclusive, in compliance with Directive 2011/83/EU. Dutch BTW (21%) currently applies to all EU/EEA sales; per-country OSS rates will apply once our annual EU cross-border sales exceed the €10,000 threshold
• For customers outside the EU/EEA, no VAT is added — the displayed price is the amount charged. You remain responsible for any local taxes applicable in your jurisdiction
• Payment is due immediately upon purchase
• We accept credit/debit cards, iDEAL, and SEPA Direct Debit, processed through Stripe (PCI-DSS Level 1 certified)
• You retain your statutory right of withdrawal under EU consumer law — see Section 4 and our Refund Policy

4. Right of Withdrawal & Refunds

4.1 EU 14-Day Right of Withdrawal (Statutory)

If you are a consumer resident in the EU/EEA, you have the right under Directive 2011/83/EU (Consumer Rights Directive) to withdraw from this contract within 14 days of purchase, without giving any reason.

Important — Digital Content Exception: Because SageTweaks is digital content delivered immediately upon purchase, by completing checkout you expressly request immediate performance and acknowledge that you lose your right of withdrawal once download or activation begins. This is required by Article 16(m) of the Consumer Rights Directive.

If you have not yet downloaded, activated, or used your license, you may exercise your right of withdrawal within 14 days by emailing support@sagetweaks.com with subject "Withdrawal" and your order number.

4.2 Voluntary 30-Day Money-Back Guarantee

Beyond the statutory 14-day withdrawal period, we offer a voluntary 30-day money-back guarantee from the date of purchase. This is a goodwill commercial commitment and is in addition to — and does not limit — your mandatory statutory rights as an EU/EEA consumer.

4.3 Refund Process

1. Submit refund request through your dashboard or by emailing support@sagetweaks.com
2. Provide your order number
3. Statutory withdrawal refunds are processed within 14 days of receipt of the withdrawal notice (as required by EU law)
4. Voluntary 30-day MBG refunds are typically processed within 5–7 business days
5. Funds returned to the original payment method

5. Prohibited Uses

You agree NOT to use the Service for:

• ✗ Any illegal activity or violation of laws
• ✗ Unauthorized access to computer systems ("hacking")
• ✗ Distribution of malware, viruses, or harmful code
• ✗ Harassment, abuse, or harm to others
• ✗ Spamming, phishing, or fraudulent activities
• ✗ Infringing on intellectual property rights
• ✗ Impersonating any person or entity
• ✗ Collecting user data without consent
• ✗ Interfering with Service operation or security

6. Conformity & Warranty

EU Consumer Conformity Rights: If you are a consumer in the EU/EEA, the Software must conform to the contract under EU Directive 2019/770 (Digital Content Directive). You are entitled to remedies including bringing the Software into conformity, a proportionate price reduction, or termination of the contract, in accordance with applicable law. These rights are not limited or excluded by anything in these Terms.

Without prejudice to the rights above, we do not guarantee that:

• The Service will be uninterrupted, secure, or error-free
• Results obtained from the Service will be identical for every system configuration
• Specific FPS or latency improvements (results vary by hardware)

7. Limitation of Liability

Nothing in these Terms limits or excludes our liability for:

• Death or personal injury caused by our negligence
• Fraud or fraudulent misrepresentation
• Gross negligence or wilful misconduct
• Any liability that cannot be limited or excluded under mandatory consumer protection law (including the Dutch Civil Code and EU Directives 2019/770 and 2011/83)

Maximum Liability: Subject to the rights above, our aggregate liability arising out of or relating to the Service shall not exceed the greater of:

• The amount you paid for the Service in the 12 months preceding the claim, or
• EUR 100

These limitations do not affect your statutory rights as a consumer under EU and Dutch law.

8. Indemnification

You agree to indemnify, defend, and hold harmless SageTweaks, its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including legal fees) arising from:

• Your use of the Service
• Your violation of these Terms
• Your violation of any laws or third-party rights
• Your negligence or willful misconduct

9. Dispute Resolution

9.1 Contact Us First

Most issues can be resolved quickly. Before pursuing any formal action, please email support@sagetweaks.com describing the problem and your desired resolution. We aim to respond within 5 business days.

9.2 EU Online Dispute Resolution (ODR)

If you are a consumer in the EU/EEA and we cannot resolve your dispute directly, you have the right to use the European Commission's Online Dispute Resolution platform:

You may file a complaint via that platform. We are not currently obligated, and do not undertake, to participate in alternative dispute resolution proceedings before a consumer arbitration board (Verbraucherschlichtungsstelle) under §36 VSBG or equivalent national legislation, but we will respond to legitimate consumer complaints in good faith.

9.3 Local Consumer Authorities

You retain the right to lodge a complaint with the consumer protection authority in your country of residence. EU consumers can find their national authority via the European Consumer Centres Network (ECC-Net).

10. Governing Law and Jurisdiction

These Terms are governed by the laws of the Netherlands, excluding its conflict-of-law rules and the United Nations Convention on Contracts for the International Sale of Goods (CISG).

Consumer protection: If you are a consumer resident in the EU/EEA, this choice of law does not deprive you of the protection afforded by the mandatory consumer-protection provisions of the law of your country of habitual residence (Article 6 of Regulation (EC) 593/2008 — Rome I).

Disputes that cannot be resolved through Section 9 shall be submitted to the competent courts of the Netherlands. Consumers may alternatively bring proceedings in the courts of their country of residence, as permitted by EU consumer law.

11. Changes to These Terms

We reserve the right to modify these Terms at any time. When we make changes:

• We will update the "Last Updated" date at the top
• We will notify you via email if changes are material
• Changes become effective 30 days after notification

Continued use of the Service after changes constitutes acceptance of the updated Terms.

12. Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.
